Terms of Service
These terms are between CaliperX and the independent repair business (“you”, “the Shop”) that subscribes to it.
1. What this service is
CaliperX is scheduling, estimating and invoicing software. We license it to you as a subscription. That is the entire service.
We do not perform, supervise, inspect, direct, endorse, guarantee or insure any vehicle repair or maintenance work. We are not a repair shop, a broker, a referral service, a marketplace, an employer, an agent, or a party to any agreement between you and your customers.
2. You are an independent business
Nothing here creates an employment, agency, partnership, franchise or joint-venture relationship. You set your own prices, choose your own customers, control your own schedule and perform work under your own name and your own business judgment.
You are solely responsible for:
- holding every licence, registration and permit your work requires;
- carrying appropriate liability and garage-keepers insurance;
- the safety, quality, workmanship and legality of everything you do;
- the parts you source, install or advise on;
- your agreements, warranties, disputes and refunds with your customers;
- all of your own taxes, including income, self-employment and any sales tax you collect.
3. Payments from your customers
Your customers pay you directly. CaliperX never collects, holds, routes, escrows or settles money between you and your customers. Amounts recorded in the software are your own bookkeeping records, not a payment we processed.
Tax rates you configure are figures you choose and are responsible for. We do not provide tax, accounting or legal advice, and we do not file or remit anything on your behalf.
4. Your subscription
You pay a recurring subscription fee to use the software. Fees are billed in advance and are non-refundable except where the law requires otherwise. You may cancel at any time, effective at the end of the current billing period. We may change pricing on reasonable notice.
5. Customer data
Information you enter about your customers is yours. You are the controller of that data; we store and process it on your instructions in order to run the software for you. You are responsible for having a lawful basis to collect it and for the notices you give your customers.
You can export your data, and you may ask us to delete it after your account closes. See our Privacy Policy.
6. Acceptable use
Don't use the software to break the law, to send unlawful messages, to impersonate anyone, to store data you have no right to, or to attack or reverse-engineer the service.
7. The service is provided as is
The software is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that it will be uninterrupted, error-free, or that a booking, reminder or notification will always be delivered on time or at all.
Scheduling software is a convenience, not a guarantee. You remain responsible for confirming appointments with your customers.
8. Limitation of liability
To the fullest extent permitted by law, CaliperX is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost business, lost data or lost goodwill.
Our total aggregate liability for any and all claims is limited to the subscription fees you actually paid us in the twelve months before the event giving rise to the claim.
We are not liable, at all, for any loss, injury, damage, defect or dispute arising out of work you performed, parts you supplied or advice you gave. That is between you and your customer.
9. You indemnify us
You will defend, indemnify and hold harmless CaliperX and its people from any claim, demand, loss, liability, fine or expense (including reasonable legal fees) arising out of or relating to: your repair work; parts you supplied; injury to any person or damage to any vehicle or property; your customers or your agreements with them; your taxes; your licensing or insurance; or your breach of these terms.
10. Suspension and termination
Either of us may end this agreement at any time. We may suspend an account for non-payment, unlawful use, or use that puts the service or other subscribers at risk. Sections 2, 3, 5, 7, 8 and 9 survive termination.
11. Governing law
These terms are governed by the laws of the state in which CaliperX is established, without regard to conflict-of-law rules.
